END USER LICENSE AGREEMENT
This End User License Agreement (or "EULA") is a legal agreement between StrikerBlueI Digital (the "Company"), registered Company, and the Person or Entity (the "End-User"). This EULA is made and entered into as of the date ("Effective Date") of purchase or download ("Acceptance") of Software or Digital Product (the "Product") by the End-User from StrikerBlueI Digital via Website (https://www.sbidigital.net or "Point-of-Sale") or Licensed Distributor ("Licensed Point-of-Sale").
WHEREAS, Company owns certain Product that it desires to license to End-User;
WHEREAS, End-User desires to use such Product under the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Definition of Terms:
The term "Product" refers to the Software or Digital Product, including any updates, modifications, or associated documentation provided by the Company.
The term "Acceptance" refers to the
    • purchase of the Product or
    • purchase and subsequent download of the Product
from Point-of-Sale or Licensed Point-of-Sale.
The term "Derivative Works" refers to
    • significant modification of the Product or
    • inclusion of the Product in the production of digital media
resulting in media which, as a whole, represent an original work of authorship by the End-User.

2. Grant of License:
Subject to the terms and conditions of this EULA, the Company hereby grants to the End-User a limited, non-exclusive, non-transferable, commercial, royalty-free, perpetual license to modify or include the Product for the purpose of producing and distributing Derivative Works.

3. Derivative Works:
Subject to the terms and conditions of this EULA, the End-User is permitted to produce Derivative Works per use of the Product.
4. Commercial Use:
Commercial use is limited to Derivative Works.

5. Attribution:
No attribution is required.

6. Intellectual Property Rights:
All intellectual property rights in the Product shall remain the property of the Company. The End-User does not acquire any rights to the Product except for the limited use rights specified in this EULA.

7. Warranty and Liability:
The Product is provided "as is" without warranty of any kind. The Company shall not be liable for any damages arising out of or related to the use or inability to use the Product.

8. Termination:
This EULA shall terminate automatically if the End-User breaches any of the terms and conditions herein. Upon termination, the End-User must cease all use of the Product and destroy all copies.

9. Governing Law:
This EULA shall be governed by and construed in accordance with the laws of United States.
IN WITNESS WHEREOF, the parties have executed this End User License Agreement as of the Effective Date.
